UPSCALE MEDIA SOLUTIONS
Terms of Service
Clear expectations for using this website and working with Upscale.

About these terms
These Terms of Service apply to this website and explain the general basis on which Upscale Media Solutions offers website design, website support, SEO, advertising and marketing consulting. Upscale Media Solutions is based in Strathmore, Alberta, Canada.
A signed service agreement or accepted written proposal defines an individual engagement. If it conflicts with these general terms, the specific written agreement takes priority. Browsing the website or sending an enquiry does not book a service or create a paid engagement.
Using this website
Use this website lawfully. Do not attempt to gain unauthorised access, interfere with its operation, introduce malicious software, impersonate someone or misuse contact information. Information you provide must be accurate and you must have authority to act for any business you represent.
Website content and guides provide general information. They do not replace advice or a strategy specific to your business. We may update pages and services as our offering changes.
Service scope and approval
Before work begins, the written agreement should identify deliverables, responsibilities, fees, required access and any agreed schedule. Items outside the agreed scope, additional revisions, new functionality and changes in direction may require a separate quote or written change approval.
Delivery timing depends on the agreed scope and timely access to content, accounts, decisions and approvals. Third-party services, platform reviews and client delays can affect the schedule. We communicate material changes to the planned work.
Fees, payment and third-party costs
Fees, payment dates, deposits and any applicable taxes are set out in the proposal, agreement or invoice. Unless otherwise stated, quoted amounts are in Canadian dollars. Advertising spend, domain registration, hosting, paid tools and third-party licences are separate costs unless expressly included.
Approval is required for additional work or third-party purchases outside the authorised scope. Payment, refund and suspension provisions follow the written agreement. A website enquiry does not authorise a purchase or a charge.
Client responsibilities and account access
Clients are responsible for providing accurate business information, appropriate permissions, required content and timely feedback. You must have the right to use supplied text, images, trademarks, customer feedback and other materials.
Business accounts should remain under the business owner’s control. Use authorised permissions for access rather than publishing or casually sharing passwords. You are responsible for your business’s offers, customer fulfilment and the accuracy of approved claims. Changes made by another party may affect performance or require additional work.
Intellectual property and portfolio work
Ownership, licence rights and handover of custom deliverables are governed by the written agreement. Unless agreed otherwise, transfer of the agreed custom deliverables follows full payment. Pre-existing tools, frameworks and reusable methods remain with their owners.
Fonts, software, plugins, stock assets and other third-party materials remain subject to their own licences. Client logos, names and materials displayed in our portfolio belong to their respective owners and do not imply ownership by Upscale.
Public project examples explain the work actually provided. Confidential information, unpublished business data and sensitive project details are not included without appropriate permission.
Marketing outcomes and third-party platforms
We do not guarantee a particular Google ranking, ad approval, lead volume, conversion rate or revenue result. Outcomes depend on the website, offer, market, budget, competition, customer follow-up and third-party platforms. A client example is not a promise of the same outcome for another business.
Google, Meta, hosting companies and other providers control their own systems and policies. Algorithm changes, account reviews, platform outages and policy enforcement are outside our control. We evaluate performance using the information and access available for the agreed work.
Support, hosting and changes
Ongoing hosting, maintenance, security updates and website support are included only where agreed. The agreement should define the support scope, responsibilities and any ongoing fee. A completed website project does not by itself create an unlimited support arrangement.
Keep suitable backups and retain access to business-owned accounts. Domain, hosting and software renewals remain the responsibility identified in the agreement. Requests after handover may be treated as additional work if outside the support scope.
Cancellation and ending an engagement
Notice periods, refunds, handover and cancellation charges follow the written agreement. You remain responsible for authorised work already performed and approved third-party costs. Send cancellation or scope-change requests in writing so both parties can confirm the remaining work and account responsibilities.
An engagement may be paused or ended where continuing would be unlawful, unsafe, outside agreed account permissions or contrary to the written agreement. Rights and responsibilities that need to continue, such as confidentiality, outstanding payment and applicable licence terms, survive the end of an engagement.
Privacy and confidentiality
Personal information is handled as described in our Privacy Policy. Project information shared for agreed work should be treated confidentially, subject to the written agreement and legal disclosure requirements.
External websites and platforms operate under their own terms. Linking to a client or provider does not make us responsible for that website’s current content, security or availability.
Availability, liability and legal rights
We take reasonable care with this website but cannot promise uninterrupted access or that every guide suits every situation. To the extent permitted by law, we are not responsible for indirect losses arising solely from use of general website information.
Liability and remedies for paid services are governed by the written agreement and applicable law. Nothing in these terms excludes rights or responsibilities that cannot lawfully be excluded. This website does not impose a new fee, financial penalty or blanket waiver through browsing alone.
Governing law, changes and contact
These general terms are governed by Alberta law and applicable Canadian federal law, subject to any mandatory legal protections or jurisdiction rules. Please contact us first about a dispute so we can try to resolve it in good faith.
Updated website terms will be posted here with a revised date. Changes to an existing engagement must follow its written agreement; a website update does not silently rewrite a signed contract. If one provision is unenforceable, the remaining provisions continue to apply where legally permitted.
